Why:
|
After nearly three years of financial turmoil, we are promised or threatened (depending on your viewpoint) with reform on corporate governance and how issuers will communicate with the public. Join us to hear Paul Hess discuss what changes have been recently adopted and what other changes are in the works at the Securities and Exchange Commission and how they might impact what we do as IRO practitioners. Paul will update us on issues such as corporate governance, compensation, majority voting, proxy access, the changing CD&A and poison pills and what we might expect form proxy advisory firms.
As a corporate and securities attorney practicing in Central Ohio for 25 years, Paul assists clients of all sizes in the areas of business, corporate, securities and merger & acquisition law. He advises clients ranging from start-ups and small businesses, to mid-size businesses and large public companies. Paul has a wealth of experience advising clients in the legal, technical and financial aspects of raising capital through IPOs and the offering of equity and debt securities as well as in other aspects of SEC compliance and corporate governance.
